12 Filtration Industry Analyst August 2020 M&A REVIEW Filtration Mergers & Acquisitions Review: Q2 2020 While the coronavirus pandemic slowed M&A activity con- siderably, a number of filtration- related deals were still announced or completed during the second quarter of 2020. • Camfil Svenska AB acquired Swedish air filtration solutions producer Resema AB (see Filtration Industry Analyst, April 2020). Resema has production facilities in Tranås and Aneby, and sales offices in Stockholm and Malmö, along with a sister company in Denmark. The family-owned company, which was established in 1969 by Rune Sellö, has around 65 employees and SEK100 million in annual turnover. Earlier this year, Camfil strengthened its position in the Australian air filtration market with the acquisition of Melbourne- headquartered Airepure Australia (see Filtration Industry Analyst, March 2020). www.camfil.com and www.resema.se • Filtration Group expanded its membrane offering with the acquisition of Oxyphen, a Swiss manufacturer of microporous track-etched membranes (see Filtration Industry Analyst, May 2020). Track-etched membrane is a high-precision manufactured film used in critical applications for life science, automotive, industrial and consumer markets. Oxyphen’s track-etched membrane solutions complement the porous product offering and manufacturing capability within Filtration Group’s Porex business. Headquartered in Wetzikon, Switzerland, Oxyphen has more than 60 employees across two facilities in Europe. The Filtration Group portfolio already includes AG Industries, Air Flow Technology, Air System Products, Chemco, Clear Edge, Dafco, Facet, FG Clean Wipes, FG Fluid Solutions, Filtrair, Filtran, Filtration Group HVAC, Filtration Group Process Systems, Global Filter, Jonell Systems, Kaydon Filtration, Multisorb, PCI Membranes, Porex, Process Technologies, Purafil, Universal Air Filter, Waco and Zinga. www.filtrationgroup.com and www.oxyphen.com • Sartorius completed its US$825 million acquisition of selected life science businesses of Danaher Corp (see Filtration Industry Analyst, May 2020). The businesses acquired by Sartorius generated revenue of approximately US$170 million in 2019 and cover label-free biomolecular characterisation, chromatography hardware and resins, and microcarriers. They include stainless steel hollow fiber and single-use technology tangential flow filtration systems. www.sartorius.com • Interpump Group signed a binding agreement to acquire an 80% controlling stake in Servizi Industriali Srl, an Italian company operating in the design, production and sale of Macfuge centrifugal separators (see Filtration Industry Analyst, May 2020). Macfuge systems are used for separation and clarification in the food, chemical and pharmaceutical industries, as well as in the energy sector. Interpump Group chairman Fulvio Montipò said: “With this acquisition, we add an important tile to our range of fluid handling systems and components, where demand is rapidly growing thanks to the higher and higher attention to environmental impact.” Servizi Industriali management will hold the remaining 20%. www.interpumpgroup.it and www.macfuge.com • Italy’s GVS SpA bought Haemonetics Corp’s blood filter manufacturing operations in Fajardo, Puerto Rico (see Filtration Industry Analyst, June 2020). The two companies also signed a long-term supply and development agreement that will, among other things, grant GVS exclusive rights to manufacture and supply the blood filters currently produced at the Fajardo facility. Bologna- headquartered GVS supplies filtration solutions in the Healthcare & Life Sciences, Energy & Mobility and Health & Safety sectors. The group has 13 production plants in Italy, UK, Brazil, US, China, Mexico and Romania, and six commercial companies located in Argentina, Russia, Turkey, Japan, Korea and China. The group had 2019 revenues of E227 million and adjusted EBITDA of E62 million. www.gvs.com and www.haemonetics.com • Donaldson Company Inc and Nelson Global Products Inc reached a mutual agreement to terminate Nelson’s purchase offer for Donaldson’s Exhaust and Emissions (E&E) business (see Filtration Industry Analyst, June and February 2020). The transaction was to have included Donaldson’s dedicated E&E sales and engineering functions, production facilities and lab capabilities. Donaldson’s E&E business had revenues of approximately US$120 million in fiscal 2019. www.donaldson.com and www.nelsongp.com • Grundfos entered into an agreement to acquire the Danish water treatment solutions company Silhorko-Eurowater A/S (see Filtration Industry Analyst, June 2020). Headquartered in Skanderborg, Eurowater develops, produces and markets solutions for the treatment of water for customers in the industrial and municipal sectors. Grundfos says that the acquisition marks an important milestone in the company’s ongoing efforts to pioneer solutions to tackle global water challenges. The transaction is expected to close later this year. www.grundfos.com and www.eurowater.com • Ceco Environmental Corp purchased Environmental Integrated Solutions Ltd (EIS), a UK-based manufacturer and supplier of VOC abatement, odour control and air pollution control systems (see Filtration Industry Analyst, June 2020). Birmingham-headquartered EIS will serve as a regional hub for Ceco’s Industrial Solutions segment. www.cecoenviro.com and www.eisuk.co.uk • The water quality platform established by KKR and XPV Water Partners to provide end-to-end nutrient management solutions (see Filtration Industry Analyst, December 2019) acquired Environmental Dynamics International Inc (EDI), a manufacturer of diffused aeration systems (see News, page 14). EDI will integrate into Nexom, combining EDI’s expertise in serving medium- to large-scale treatment facilities in North America and internationally with Nexom’s expertise in serving small- to medium-sized treatment facilities. Nexom CEO Martin Hildebrand will head up the combined businesses. www.kkr.com, www.xpvwaterpartners.com, www.environmentaldynamics.com and www.nexom.com • Metso Minerals and Outotec completed their merger (see Filtration Industry Analyst, July 2020, May 2020 and July 2019). Metso Outotec Corporation started operations on 1 July 2020.
